Terms and Conditions for Conversion-Optimised Web Design Subscription

1. Agreement Overview These Terms and Conditions ("Terms") govern your use of the conversion-optimised web design subscription service ("Service") provided by NOVORIUM ("Company," "we," "our," or "us").

By subscribing to or using the Service, you ("Client," "you," or "your") agree to these Terms. If you do not agree, do not use the Service.

2. Service Description The Service includes:

A professionally designed, conversion-optimised website.Features such as an online booking calendar, email marketing, chatbot integration, forms and surveys, reputation management tools, and SMS notifications.Hosting, maintenance, and updates as part of the subscription.

3. Subscription and Fees

3.1. Subscription Fee: The monthly subscription fee is $67, billed automatically each month. The NOVORIUM Console Marketing Software has add-on options, if activated it will cost additional amount. If Phone numbers are purchased through the software, that will too have additional Monthly Cost.

3.2. Payment Terms: Payments are due on the date specified in your subscription agreement. Failure to make timely payments may result in suspension or termination of the Service.

3.3. Currency: All prices are in United States Dollars (USD).

3.4. Cancellation Policy: Subscriptions can be canceled at any time with a 30-day written notice. Cancellation does not entitle the Client to a refund for any paid period.

4. Client Responsibilities

4.1. Content Provision: You are responsible for providing accurate and up-to-date content, images, and branding materials for your website.

4.2. Compliance: You must ensure that all content and activities conducted through your website comply with applicable laws and regulations.

4.3. Access and Cooperation: You must provide necessary access and cooperation to facilitate the setup, customization, and ongoing support of the Service.

5. Ownership and Intellectual Property

5.1. Website Ownership: The design and structure of the website remain the property of NOVORIUM. Upon termination of the subscription, access to the website will be revoked.

5.2. Client Data: Any content provided by the Client remains their intellectual property.

6. Service Limitations and Modifications

6.1. Third-Party Integrations: Some features rely on third-party tools and platforms. We are not responsible for disruptions caused by changes or issues with these third-party services.

6.2. Modification Rights: NOVORIUM reserves the right to modify the Service features or pricing with a 30-day notice to the Client.

7. Support and Maintenance

7.1. Support: Support is provided during business hours via email or designated communication channels.

7.2. Maintenance: Regular updates, security patches, and feature improvements are included in the Service.

8. Limitation of Liability To the extent permitted by law, NOVORIUM will not be liable for any indirect, incidental, or consequential damages arising out of the use of the Service.

9. Termination

9.1. Termination by Client: You may terminate the subscription with 30 days' written notice.

9.2. Termination by NOVORIUM: We reserve the right to terminate your subscription for breach of these Terms or non-payment, with or without notice.

10. Governing Law These Terms shall be governed by and construed in accordance with the laws of Australia.

11. Amendments NOVORIUM reserves the right to update or modify these Terms at any time. Clients will be notified of changes via email or an announcement on our website.

Direct Debit Service Agreement

This Direct Debit Service Agreement ("Agreement") outlines the terms and conditions under which NOVORIUM ("Company," "we," "our," or "us") will collect payments from your nominated bank account or credit card via the Direct Debit system.

By authorizing direct debit, you ("Client," "you," or "your") agree to the terms of this Agreement.

1. Definitions

1.1. Direct Debit: A payment method where funds are automatically deducted from your nominated account.

1.2. Debit User: NOVORIUM, acting as the party authorized to initiate the debit.

1.3. Financial Institution: The bank or financial institution where your nominated account is held.

2. Direct Debit Authorization

2.1. By signing or authorizing this Agreement, you provide us with permission to debit your nominated account for the agreed-upon subscription fees and any other charges specified in your service agreement.

2.2. Deductions will occur on the due date as per your subscription plan.

3. Payment Details

3.1. Payments will be deducted in United States Dollar (USD).

3.2. The debit amount will be the agreed subscription fee and any additional fees outlined in your agreement with us.

3.3. You must ensure sufficient funds are available in your nominated account to cover the payment on the due date.

4. Changes to Payment Arrangements

4.1. We will provide at least 14 days' notice if we make changes to the debit arrangements, such as the frequency or amount.

4.2. If you wish to change your nominated account or update your payment details, you must provide written notice at least 7 days before the next payment date.

5. Client Responsibilities 5.1. Ensure your nominated account is capable of accepting Direct Debit transactions. 5.2. Ensure sufficient funds are available in your account on the payment date. 5.3. Notify us immediately if there are changes to your account details or if your account is closed.6. Failed Payments 6.1. If a Direct Debit payment is dishonored or rejected by your financial institution, we may attempt to process the payment again within 7 business days. 6.2. You may be liable for any fees or charges imposed by your financial institution or us as a result of a failed payment. 6.3. Continued failed payments may result in the suspension or termination of your subscription.7. Cancellation of Direct Debit 7.1. You may cancel your Direct Debit authorization at any time by providing at least 14 days' written notice to us. 7.2. Cancellation of the Direct Debit does not terminate your subscription or any amounts owed.8. Confidentiality 8.1. We will keep your account details and personal information secure and confidential. 8.2. Information will only be disclosed to the extent required by law or as necessary to process payments.9. Disputes 9.1. If you believe a payment has been incorrectly processed, you should notify us immediately at [email protected] or by phone. 9.2. We will investigate and respond to your dispute within 5 business days. 9.3. If we determine that an error occurred, we will arrange a refund or adjust your account as necessary.10.
